CORPTECH advises Refuels NV, listed on Euronext Growth Oslo, on its entrance into the biomethane production business.

Refuels NV, a Dutch public company (Naamloze Vennootschap), founded in 2014 and listed on Euronext Growth Oslo has, through its group company Renewable Transport Fuel Services Ltd, purchased the entire issued share capital in Bio Energie Holwerd B.V. from Green Create W2V Limited.


Bio Energie Holwerd B.V. operates a sustainable biomethane (gas) production plant, which biomethane is fed into the Dutch national gas grid. The transaction is in line with ReFuels’ strategy of building a vertically integrated clean fuels platform and enhances supply flexibility amid growing end-user demand for biomethane.


CORPTECH, assisted by De Metz Advocaten and Trip Advocaten, advised Refuels and its shareholders on the structuring, financing and execution of the transaction. 


About Refuels

Refuels NV owns large minority of the shares in CNG Fuels Ltd. and Renewable Transport Fuel Services Ltd. CNG Fuels Ltd. was founded in 2014 which operates the UK’s largest CNG refuelling network. RTFS was founded in 2017 and is Europe’s largest supplier of unsupported biomethane to the transport sector.


The biomethane used in CNG Fuels’ refuelling network is independently verified and approved by the UK’s Department for Transport’s Renewable Transport Fuel Obligation (RTFO), allowing its customers to accurately measure the carbon offsets within their transport fleet. This not only supports their green ambitions, but it also allows them to benefit from government incentives and communicate their commitment to a greener future to their customers, resulting in a positive reputation.


CNG Fuel’s biomethane refuelling sites are already the UK’s largest capacity public access CNG stations, and it is continuously expanding  its network of public access stations. By end-2028, CNG Fuel’s target is to have a capacity to serve 20,000 heavy goods vehicles per day while the long-term ambition is to become Europe's leading integrated supplier of alternative fuels for commercial fleets.


About Bio Energie Holwerd B.V.

Bio Energie Holwerd’s anaerobic digestion plant started operations in 2014 and is located in Holwerd. It produces 13 GWh of biomethane annually from waste, which is injected into the gas grid and qualifies for UK Renewable Transport Fuel Certificates (RTFCs), thereby enabling decarbonisation of UK logistics.


About the transaction

“The acquisition complements our unique refuelling position in the UK by providing increased optionality in our upstream sourcing. Our focus remains on long-term offtake agreements with large-scale producers, but selective investments like this one strengthen our sourcing position and provide additional insights across the value chain,” said Jasper Nillesen, Executive Director of ReFuels and CEO of RTFS.


The acquisition is financed through available cash and will continue operations under the existing local management team. RTFS will look to optimise the site over time and assess expansion in line with permit allowances, feedstock developments and commercial priorities.
